1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the website and services of Radavanta LLC ("Radavanta," "we," "our," or "us"). By accessing our site or engaging our services, you agree to be bound by these Terms. If you do not agree, do not use the site or services.

2. Services

Radavanta provides mobile imaging sourcing, technologist staffing, equipment deployment, and lifecycle management services for healthcare organizations. The specific scope, deliverables, pricing, and duration of any engagement are governed by a separate written services agreement, statement of work, or Business Associate Agreement executed between Radavanta and the client. In the event of a conflict, the executed services agreement controls.

3. Eligibility

You represent that you are at least 18 years old and, if using the site on behalf of an organization, that you have authority to bind that organization to these Terms.

4. Acceptable Use

You agree not to:

• Use the site or services in violation of any law or regulation.
• Interfere with, disrupt, or attempt to gain unauthorized access to our systems.
• Upload malicious code, scrape content, or bypass technical restrictions.
• Submit false, misleading, or fraudulent inquiries or information.
• Use the site to transmit protected health information outside of an executed Business Associate Agreement.

5. Intellectual Property

The site and all content, trademarks, logos, graphics, and software are owned by Radavanta or its licensors and are protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the site for legitimate business purposes. All other rights are reserved.

6. Submissions and Feedback

Information you submit through inquiry forms is used to respond to your request and deliver services, as described in our Privacy Policy. By providing feedback or suggestions, you grant Radavanta a perpetual, royalty-free license to use them without restriction.

7. Third-Party Vendors and Links

Radavanta coordinates equipment, transport, staffing, and other vendors on behalf of clients. Third-party products and services are subject to their own terms and warranties. Our site may link to third-party sites for convenience; we do not endorse and are not responsible for their content or practices.

8. Disclaimers

THE SITE AND ANY INFORMATIONAL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. 9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RADAVANTA AND ITS OFFICERS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL ARISING FROM OR RELATED TO YOUR USE OF THE SITE. OUR AGGREGATE LIABILITY FOR ANY CLAIM RELATED TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). LIABILITY FOR CONTRACTED SERVICES IS GOVERNED BY THE APPLICABLE SERVICES AGREEMENT.

10. Indemnification

You agree to indemnify and hold harmless Radavanta from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your misuse of the site, violation of these Terms, or violation of any law or third-party right.

11. Termination

We may suspend or terminate your access to the site at any time, with or without notice, for any reason, including violation of these Terms.

12. Governing Law

These Terms are governed by the laws of the state in which Radavanta is headquartered, without regard to conflict-of-law principles. Any dispute will be resolved in the state or federal courts located in that jurisdiction, and you consent to their exclusive jurisdiction and venue.

13. Changes to These Terms

We may update these Terms from time to time. Continued use of the site after changes take effect constitutes acceptance of the revised Terms.
